Orbiri Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Orbiri’s websites, applications, and related services (together, the "Service"). They form a legally binding agreement between you and Orbiri Limited.
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

"Orbiri", "we", "us", or "our" means Orbiri Limited, a company registered in England and Wales.
"User", "you", or "your" means any individual or organisation that accesses or uses the Service.
"Parent" means a parent or legal guardian who creates and manages an account on behalf of a child.
"Child" means a minor whose device or account is managed through the Service by a Parent.
"School" means an educational institution that participates in or coordinates community use of the Service.
"Content" means all software, text, graphics, branding, designs, and other materials provided by Orbiri as part of the Service.
2. About Orbiri and the Service
Orbiri provides a community-based digital wellbeing service designed to help families and schools establish shared, age-appropriate digital boundaries for children. The Service organises access to apps, websites, and device functionality into predefined spaces and time windows to encourage healthier digital habits.
Note: Orbiri does not guarantee that use of the Service will prevent exposure to all harmful, inappropriate, or unwanted online content. No digital tool can provide complete or absolute online safety.
Orbiri:
Does not monitor, read, store, or analyse the content of messages, calls, photos, or communications
Does not provide surveillance or behavioural monitoring tools
Does not guarantee that children will be 100% safe from harmful content, online interactions, or digital risks
Does not replace parental responsibility, school safeguarding duties, or professional advice
The Service is a supportive coordination tool, and outcomes will vary depending on the behaviour of individuals, families, communities, and third‑party platforms.
3. Eligibility and Age Requirements
The Service is intended for use by Parents, Schools, and authorised staff.
Children may only use the Service where their account and device are set up and approved by a Parent.
Children may not create accounts themselves.
By using the Service, you confirm that you have the legal authority to enter into these Terms and, where applicable, to act on behalf of a Child or an organisation.
4. Account Registration and Security
When creating an account, you agree to:
Provide accurate, complete, and up-to-date information
Keep your login credentials confidential and secure
Notify us promptly of any unauthorised access or security breach
You are responsible for all activity carried out through your account, including any linked child accounts or devices.
5. How the Service Operates
The Service may include:
Preset time-based access limits
Grouping of apps and websites into clearly defined spaces
Community-aligned boundaries coordinated through participating Schools
Orbiri may update or refine these features from time to time. We do not guarantee specific behavioural, educational, or wellbeing outcomes.
6. Schools and Community Use
Where the Service is introduced through a School:
Schools act as coordinators, not enforcers
Schools do not have access to children’s personal content or communications
Schools may only view limited participation information (such as activation status of individuals or anonymised/aggregated activity reports)
Orbiri is not responsible for how individual Schools communicate, enforce policies, or supplement the Service within their communities.
7. Acceptable Use
You must not:
Circumvent, disable, or interfere with the Service’s technical protections
Reverse engineer, copy, or misuse the Service or Content
Use the Service unlawfully or in a way that infringes the rights of others
We reserve the right to suspend or terminate access where misuse or breach of these Terms occurs.
8. Fees, Trials, and Payments
Some parts of the Service may be provided free of charge, as part of a trial, or on a paid subscription basis.
Pricing and payment terms will be clearly communicated at sign-up or through participating Schools
Unless otherwise stated, fees are non-refundable once a paid period has started
We may change pricing with reasonable notice
9. Intellectual Property
All intellectual property rights in the Service and Content belong to Orbiri or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for its intended purpose. No ownership rights are transferred.
You must not reproduce, distribute, modify, or exploit any part of the Service without prior written consent.

11. Service Availability and Changes

We may update or discontinue parts of the Service where reasonably necessary. Material changes will be communicated where appropriate.
12. Limitation of Liability
To the fullest extent permitted by law:
Orbiri does not warrant or represent that the Service will eliminate exposure to harmful, inappropriate, or unlawful online content
Orbiri shall not be liable for content, interactions, or experiences that occur on third‑party apps, websites, or platforms accessed via a child’s device
Orbiri shall not be liable for indirect, incidental, or consequential losses, including emotional distress or reputational harm
Orbiri is not responsible for decisions made by Users, Parents, Children, or Schools based on use of the Service
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.
13. Indemnity
You agree to indemnify and hold Orbiri harmless from any claims, damages, losses, or expenses arising from your breach of these Terms or misuse of the Service.
14. Termination
You may stop using the Service at any time.
We may suspend or terminate access where:
These Terms are materially breached
Required by law or regulation
Necessary to protect the integrity or security of the Service
On termination, your right to use the Service will cease, but provisions intended to survive termination shall remain in effect.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Changes to These Terms
We may update these Terms from time to time. The current version will always be available on our website. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
